What it is

The buyer’s formal written offer — often titled a Letter of Intent — to purchase a property at a stated price. It fixes the earnest money, the payment mode, how long the seller has to accept, and the conditions that protect the buyer if due diligence uncovers problems.

When to use it

Use it once you have found the property you want and are ready to negotiate seriously, before drafting the full sale contract. Presenting a written offer with earnest money shows the seller you are a committed buyer.

Key points to check

  • States the offer price in Philippine Pesos and how long the offer stays open
  • Fixes the earnest money and confirms it is credited against the price at closing
  • Chooses between cash payment and bank financing, with loan-application deadlines
  • Makes the offer conditional on a clean title free of liens and encumbrances
  • Follows the customary tax split: capital gains tax to the seller, transfer charges to the buyer
