What it is

The final conveyance document in a property sale: the seller (vendor) transfers ownership outright to the buyer (vendee) upon execution and full payment, with a warranty that the title is genuine, clean, and free of any lien or encumbrance.

When to use it

Signed at closing, after the purchase price is fully paid or simultaneously delivered. The notarized deed is then presented to the BIR for tax clearance and to the Registry of Deeds to transfer the title to the buyer’s name.

Key points to check

  • Describes the property by TCT number, lot number, area, and location
  • Acknowledges full receipt of the purchase price
  • Warrants the title and obliges the vendor to defend it against any claim
  • Allocates taxes: capital gains tax with the vendor, transfer and registration charges with the vendee
  • Carries a notarial acknowledgment with Doc. No., Page No., Book No., and Series of the notary register
