What it is

The main payment contract in a Philippine property sale on installments. The seller keeps ownership of the property until the buyer pays the full price, and only then executes the Deed of Absolute Sale that transfers title.

When to use it

Use it for deferred-payment sales: bank loan take-outs, in-house financing, or installment arrangements between private sellers and buyers. It protects both sides while payments are still ongoing.

Key points to check

  • Splits the price into a down payment and a scheduled balance
  • Transfers title only upon full payment of the purchase price
  • Sets penalty interest and rescission for payment default, subject to Maceda Law (R.A. 6552) protections
  • Assigns capital gains tax to the seller and documentary stamp, transfer, and registration charges to the buyer
  • Requires notarization before it can be enforced against third parties
